This License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and SKMG GROUP LIMITED (“CanvasNexa”, “we”, “us”), governing the terms under which you may use AI-generated artwork purchased or licensed through canvasnexa.com.
By purchasing, downloading or using any AI-generated artwork (“Content”) from CanvasNexa, you agree to comply with this Agreement. If you do not agree, you are prohibited from using the Content and must immediately stop using it.
License grant
Subject to your compliance with this Agreement, CanvasNexa grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Content in accordance with the terms below. The license runs for the duration stated at the time of purchase or, where no duration is stated, is perpetual.
Permitted uses
- Personal use. You may use the Content for personal, non-commercial projects — printed art for your home, digital art, social media posts, or personal websites.
- Commercial use. You may use the Content for commercial projects, including websites, digital advertising, printed materials, product packaging and other marketing collateral, provided the Content is used as part of a broader creative project and not as a standalone product.
- Alterations. You may alter or modify the Content to suit your needs, provided the resulting work still complies with this Agreement.
Prohibited uses
- Resale or redistribution. You may not resell, redistribute or otherwise make the Content available for download as is, whether in its original form or as part of a larger collection, on any platform or service.
- Trademarks and logos. You may not use the Content as part of any trademark, service mark, logo or other branding that could suggest ownership of the Content.
- Sublicensing. You may not sublicense the Content to any third party, or use it to create derivative products intended for resale where the Content forms a significant part of the value.
- Offensive or unlawful use. You may not use the Content in any way that breaks the law or promotes defamatory, obscene, offensive or otherwise inappropriate material.
Ownership and intellectual property
All rights, including copyright, in and to the Content are owned by SKMG GROUP LIMITED. This license grants you limited rights to use the Content; it does not transfer ownership of any intellectual property. You acknowledge that CanvasNexa retains full ownership of the Content and that you will not claim proprietary rights to it, modified or otherwise.
Termination
We may terminate this license at any time if you breach this Agreement. On termination you must immediately stop using the Content and delete every copy in your possession, physical or digital.
Refunds and license cancellations
We may, at our discretion, issue refunds or cancel licenses in certain circumstances, such as an error in the licensing process. Once you have downloaded the Content the license is non-refundable, except where the law requires otherwise. See our Refunds & Returns Policy.
Disclaimer of warranties
The Content is provided “as is”, without warranties or guarantees of any kind, express or implied. We do not warrant that the Content will meet your requirements or that its use will be uninterrupted or error-free. We disclaim all warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
In no event shall CanvasNexa or its officers, directors, employees or agents be liable for any indirect, incidental, consequential or punitive damages arising from the use of, or inability to use, the Content. In any event our total liability is limited to the amount you paid for the Content. Nothing here limits liability that cannot lawfully be excluded, and if you are a consumer your statutory rights are unaffected.
Indemnification
You agree to indemnify, defend and hold harmless CanvasNexa and its affiliates, officers, agents and employees against any claims, damages, losses, liabilities and costs (including reasonable legal fees) arising from your use of the Content in breach of this Agreement or applicable law.
Governing law and jurisdiction
This Agreement is governed by and construed in accordance with the laws of England. Any dispute arising under or relating to it is subject to the exclusive jurisdiction of the courts located in London, England.
